1. Acceptance of Terms

Welcome to Assemble. By accessing or using our construction takeoff and estimating software ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms constitute a legally binding agreement between you and Assemble Limited ("Assemble", "we", "us", or "our"), a company registered in Ireland.

2. Account Registration and Eligibility

To use our Service, you must create an account. You agree to:

• Be at least 18 years old or the age of majority in your jurisdiction
• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Immediately notify us of any unauthorized use of your account

You may not share your account credentials or allow others to access your account. Each user must have their own individual account.

3. Acceptable Use Policy

You agree to use our Service only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Service in any way that violates applicable laws or regulations
• Engage in any fraudulent, abusive, or otherwise illegal activity
• Attempt to gain unauthorized access to our systems or other user accounts
• Use automated systems (bots, scripts, scrapers) without our written permission
• Upload or transmit viruses, malware, or other malicious code
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Reverse engineer, decompile, or attempt to extract source code from our software
• Remove, obscure, or alter any proprietary notices on the Service
• Use the Service to harass, abuse, or harm another person or entity
• Upload content that infringes on intellectual property rights
• Resell or redistribute the Service without our explicit written consent
• Use the Service for competitive analysis or to build a competing product

4. Account Suspension and Termination

We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for any of the following reasons:

• Violation of these Terms or our Acceptable Use Policy
• Fraudulent, abusive, or illegal activity
• Non-payment of fees when due
• Excessive or abusive use that impacts Service performance for other users
• Unauthorized access attempts or security violations
• Extended period of inactivity (as defined in your subscription plan)

You may terminate your account at any time through your account settings. Upon termination, your right to use the Service will immediately cease. We will retain your data for a reasonable period as described in our Privacy Policy, after which it will be permanently deleted.

5. Subscription and Payment Terms

Our Service is offered on a subscription basis. By subscribing, you agree to:

• Pay all fees associated with your chosen subscription plan
• Provide valid payment information and keep it up to date
• Authorize us to charge your payment method on a recurring basis

Billing and Renewals: Subscriptions automatically renew at the end of each billing period unless cancelled. You will be charged the then-current rate for your plan.

Cancellation: You may cancel your subscription at any time. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months.

Price Changes: We may change our pricing with at least 30 days' notice. Changes will take effect at your next renewal.

Refunds: All fees are non-refundable except as required by law or as explicitly stated in these Terms.

6. Intellectual Property Rights

The Service, including all content, features, functionality, software, and code, is owned by Assemble Limited and is protected by international copyright, trademark, and other intellectual property laws.

Your Content: You retain all rights to the content you upload to the Service (project documents, measurements, estimates, etc.). By uploading content, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.

Our Rights: All rights not expressly granted to you are reserved by Assemble.

7. Service Availability and Modifications

We strive to provide reliable, uninterrupted service but cannot guarantee 100% uptime. The Service is provided "as is" and we reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time
• Perform scheduled and emergency maintenance
• Update features, functionality, and the user interface
• Change or remove features with reasonable notice

We are not liable for any losses resulting from Service modifications, interruptions, or downtime.

8. Data Security and Backup

We implement industry-standard security measures to protect your data. However, no system is completely secure. You are responsible for:

• Maintaining secure passwords and account credentials
• Maintaining your own backups of critical data
• Promptly reporting any security concerns or incidents

We are not responsible for data loss resulting from your failure to maintain backups or secure your account.

9. Limitation of Liability

To the maximum extent permitted by law, Assemble Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or information
• Business interruption
• Cost of substitute services
• Errors in measurements, calculations, or estimates

Our total liability for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.

Important: The Service is a tool to assist with construction estimation. You are solely responsible for verifying all measurements, calculations, and estimates before using them for commercial purposes. We are not liable for inaccuracies or errors in your project estimates.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Warranties of non-infringement
• Warranties regarding accuracy, reliability, or availability
• Warranties that the Service will be uninterrupted or error-free

11. Indemnification

You agree to indemnify, defend, and hold harmless Assemble Limited, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use or misuse of the Service
• Your violation of these Terms
• Your violation of any rights of another party
• Your content uploaded to the Service

12. Dispute Resolution and Governing Law

These Terms are governed by the laws of Ireland, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of the Service shall be resolved through:

1. Good faith negotiation between the parties
2. Mediation, if negotiation fails
3. Binding arbitration or litigation in the courts of Ireland

You agree to waive any right to a jury trial and to participate in class action lawsuits.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting the updated Terms on our website
• Updating the "Last updated" date at the top of this page
• Sending an email notification for significant changes

Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
